Zhaoke Ophthalmology-B (06622) has announced the execution of a definitive agreement to acquire the global rights for NVK002, an atropine sulfate ophthalmic solution.

This product is designed to slow the progression of myopia in children.

Under the terms of the agreement, the company will obtain worldwide ownership of all intellectual property, trademarks, regulatory filings, clinical data, manufacturing capabilities, and other related assets associated with NVK002.

This acquisition grants the company full control over the global development, manufacturing, and commercialization efforts for the product.

The agreement supersedes the company's existing licensing arrangement, consolidating all rights under its ownership to facilitate the efficient implementation of its global strategy.

As part of the transaction, the company has granted a perpetual, royalty-free exclusive license for NVK002 to the seller, Nevakar Pharmaceuticals, Inc., for the development and commercialization of the product in the United States.

Nevakar will assist in completing the transition period and will continue to serve as a strategic partner in the U.S. market.

The agreement also includes standard provisions concerning non-compete obligations, regulatory cooperation, and indemnification responsibilities to ensure continued operations and protect the value of the assets.
