MINERVA GROUP Sends Out AGM Circular: Seeking Fresh Mandates, Bye-Law Revamp and INED Re-elections

MINERVA GROUP (00397) has issued its circular for the 2026 annual general meeting (AGM), scheduled for 10:00 a.m. on 26 June 2026 at 9/F, 33 Des Voeux Road Central, Hong Kong.

The board will ask shareholders to approve three routine authorisations: • A 10 per cent share-repurchase mandate, equivalent to up to 228.19 million shares based on the latest issued share capital of 2,281.89 million shares (excluding treasury shares). • A 20 per cent general mandate to allot and issue up to 456.38 million new shares, with an extension to add back any shares repurchased under the above mandate. • Flexibility to determine whether repurchased shares are cancelled or held in treasury.

Shareholders will also vote on the re-election of three independent non-executive directors—Ms. Chan Lai Ping, Ms. Tam Mei Chu and Mr. Ho Yuen Tung—who retire by rotation.

A special resolution seeks approval to replace the existing bye-laws with a new set. Key changes include provisions for treasury shares, compatibility with Hong Kong’s uncertificated securities market regime, alignment with updated Listing Rules and housekeeping amendments.

The share register will be closed from 23 June to 26 June 2026 (both days inclusive). Shareholders must lodge transfers by 4:30 p.m. on 22 June 2026 to qualify for attendance and voting. Proxy forms must reach Tricor Investor Services by 10:00 a.m. on 24 June 2026.

All resolutions at the AGM will be decided by poll, and no shareholder is required to abstain from voting under current Listing Rules.
