IMPACT Therapeutics, Inc. has convened its 2026 Annual General Meeting (AGM) for 10:00 a.m. on 25 June 2026 at the company’s Board Room, 27F, New Bund Times Square, 399 West Haiyang Road, Pudong District, Shanghai.

Key matters to be tabled:

1. Ordinary resolutions • Board Work Report: Review of 2025 operating performance. • Auditor’s Report: Consideration of the financial statements for the year ended 31 December 2025. • 2025 Profit Distribution Plan: Specific payout details to be decided at the meeting. • Auditor Re-appointment: Proposal to re-appoint the current auditor for FY 2026 with remuneration set by the Board.

2. Special resolutions • Articles of Association Amendments: Revisions to align with updated regulatory requirements. • General Issuance Mandate: Authorization for the Board to allot, issue or deal with new shares— including potential treasury-share disposals—up to 20% of the company’s issued share capital (excluding any treasury shares) as of the AGM date. The mandate will remain valid until the earliest of the next AGM, the required date for holding the next AGM under PRC law, or any prior revocation by shareholders. • H-Share Repurchase Mandate: Approval to repurchase up to 10% of issued H shares (excluding treasury shares) on the Hong Kong Stock Exchange or other recognized venues, subject to applicable PRC laws and Hong Kong Listing Rules.

Administrative deadlines:

• Share register closure: 22 – 25 June 2026 (both dates inclusive). • Last day to lodge share transfers for AGM eligibility: 18 June 2026, 4:30 p.m. (Hong Kong time), with Computershare Hong Kong Investor Services Limited. • Proxy submission deadline: 24 June 2026, 10:00 a.m. (Hong Kong time).

All resolutions will be decided by poll, and results will be disclosed on the company’s website and HKEXnews. Shareholders or their proxies must present identification for meeting admission and will bear their own travel and accommodation costs.
