Keep Inc. (HKEX: 03650) has filed a Next Day Disclosure Return detailing the repurchase of 91,900 ordinary shares on 24 July 2026. The shares, acquired on-market at prices between HK$1.83 and HK$1.89, were bought for an aggregate HK$0.17 million, implying a volume-weighted average cost of HK$1.8563 per share. The transaction represents approximately 0.018% of Keep’s 498.34 million issued shares (excluding treasury shares) outstanding before the buy-back.

Following the purchase, the company’s issued share capital (excluding treasury shares) fell to 498.25 million shares, while treasury shares increased to 12.03 million. Total issued shares remained unchanged at 510.28 million.

The disclosure also reconfirms that 3.52 million shares repurchased between 6 January and 15 April 2026, at prices ranging from HK$2.91 to HK$3.98 per share, are still pending cancellation.

Under the general mandate approved on 4 June 2026, the board is authorised to repurchase up to 50.24 million shares. Including the latest transaction, cumulative buy-backs under this mandate stand at 4.17 million shares, equivalent to 0.83% of the company’s issued share base on the mandate date.

Pursuant to Hong Kong listing rules, the company is subject to a moratorium on issuing new shares or disposing of treasury shares until 23 August 2026. Keep Inc. confirmed that all repurchases complied with relevant regulatory requirements and were duly authorised by its board of directors.
