GenFleet Therapeutics (Shanghai) Inc. announced the successful completion of its previously disclosed H-share placing on 17 July 2026. All conditions under the placing agreement have been met, and the new shares have been issued under the company’s existing general mandate.

A total of 13.60 million new H shares were placed with at least six independent investors at HK$34.69 per share. The transaction generated gross proceeds of HK$471.80 million and net proceeds of approximately HK$466.90 million after commission and expenses. The newly issued shares account for 3.87 % of the company’s enlarged H-share class and 3.54 % of total issued shares.

Following the placement, GenFleet Therapeutics’ total share count increased from 370.37 million to 383.97 million. The H-share tally rose to 351.63 million, while unlisted shares remained at 32.34 million. The new investors collectively hold 3.54 % of the company; no individual placee became a substantial shareholder under Hong Kong listing rules.

To reflect the expanded capital base, the board has amended the Articles of Association pursuant to prior shareholder authorization. Registered capital now stands at RMB38.40 million, corresponding to 383.97 million shares. Required registrations and filings with regulators in mainland China and Hong Kong are in progress.
