Ev Dynamics (Holdings) Limited (Stock Code: 476) has entered into a placing agreement with China Sunrise Securities (International) Limited on 10 November 2025. The company plans to offer up to 26,000,000 new shares under a general mandate at HK$0.78 per share.

The announced placing price represents a discount of approximately 14.29% to the last closing price of HK$0.910 on the date of agreement and a discount of around 19.92% to the average closing price over the preceding five trading days (HK$0.974). The move could result in gross proceeds of around HK$20.3 million, while net proceeds are estimated at HK$20.0 million after expenses.

Subject to no changes in share capital before completion, the maximum 26,000,000 shares would constitute about 8.75% of the existing issued capital or 8.05% of the enlarged figure upon issuing these new shares. According to the announcement, 75% of the net proceeds will be allocated to expanding the company’s new energy business—particularly e-Mobility Solutions—while 25% will be directed to general working capital.

The agreement stipulates that placing will be on a best-effort basis, with a commission of 1.5% for the placing agent. Completion hinges on conditions such as receiving approval for the new shares’ listing from the Stock Exchange, and the company cautions that the transaction may or may not proceed. Potential investors are advised to exercise vigilance when dealing in the company’s shares.

According to the announcement, should the maximum allotment materialize, the shareholding ratio of Total Honest Investment Limited would move from 20.20% to 18.58%, with the remaining shares distributed among existing shareholders and the new placees.
