Muyuan Foods: Board Affirms INED Chow Ming Sang’s Suitability After HKEX Sanction on Redco Executives

Muyuan Foods Group Co., Ltd. (MUYUAN) reported that Hong Kong Exchanges and Clearing Limited issued a Statement of Disciplinary Action on 28 July 2026 against Redco Healthy Living Company Limited and its two executive directors, Mr. Tang Chengyong and Ms. Wong Yin Man, for breaches of multiple Listing Rules covering notifiable and connected transactions as well as disclosure obligations between March 2022 and June 2023.

Mr. Chow Ming Sang—currently an independent non-executive director (INED) and chairman of MUYUAN’s audit committee—also served as an INED and audit-committee chair at Redco. The Stock Exchange made no adverse findings against Mr. Chow, and he was not sanctioned. Redco disclosed on 13 July 2026 that Mr. Chow has resigned from its board with effect from 31 July 2026 due to personal work commitments.

MUYUAN’s board conducted enquiries following the HKEX Statement and concluded:

1. Mr. Chow was not implicated in any breach, nor was he subject to penalties. 2. Issues cited in the Statement relate solely to Redco and bear no connection to MUYUAN’s operations. 3. Mr. Chow’s ability to perform his duties at MUYUAN remains unaffected.

Mr. Chow confirmed there is no additional information requiring disclosure under Listing Rule 13.51B(2) and no other matters need shareholders’ attention.

The board composition of MUYUAN as of 29 July 2026 remains unchanged, with Mr. Cao Zhinian serving as Chairman.
