China Oil & Gas AGM: Shareholders Approve All Resolutions with Up to 100% Support

China Oil & Gas Group Limited reported that every item on the agenda of its 15 May 2026 Annual General Meeting (AGM) in Hong Kong secured decisive shareholder backing, with support ratios ranging from 96.43% to a full 100%.

Key outcomes:

1. 2025 Financial Statements • Approval received 99.81% of votes cast (2.10 billion shares in favour versus 3.90 million against).

2. Board Composition and Remuneration • Re-election of Executive Directors Ms. Guan Yijun and Ms. Xu Ran gained 99.96% and 100% support, respectively. • Independent Non-executive Director Ms. Liu Zhihong was re-elected with 100% approval. • The Board was authorised to set directors’ remuneration with unanimous consent.

3. Auditor Re-appointment • KPMG retained as external auditor, receiving 100% of votes cast, alongside authority for the Board to determine its fees.

4. Capital Management Mandates • General mandate to issue new shares: 96.43% approval (2.02 billion votes for, 74.91 million against). • Share repurchase mandate: 100% approval (2.10 billion votes for). • Extension of the issue mandate by the amount of repurchased shares also passed with 96.43% support.

Voting base and attendance:

• Total issued shares: 5.64 billion. • Shares eligible to vote (excluding 437.43 million under the company’s share-award scheme): 5.20 billion. • No shareholder was required to abstain, and no intentions to vote against any resolution were notified in advance. • All directors attended the AGM except Independent Non-executive Director Mr. Yang Jie, who was absent due to business commitments.

Computershare Hong Kong Investor Services Limited acted as scrutineer for the poll. With the mandates in place, the Board retains flexibility for future share issues and repurchases within the parameters approved by shareholders.
