China Feihe Confirms Non-Executive Director Gao Yu Remains Fit for Post After HKEX Censure Linked to Home Control

China Feihe Limited released an announcement pursuant to Hong Kong Listing Rules 13.51B(2) and 13.51(2)(h) following a public censure by the Stock Exchange of Hong Kong against Home Control International and several former directors, including Gao Yu, who also serves as a non-executive director of China Feihe.

On 8 September 2026 the HKEX Listing Committee concluded that Gao Yu and other former Home Control directors breached Listing Rules 3.08 and 3.09B. The breaches stemmed from inadequate oversight of: 1) a custodian service letter appointing AMTD Wealth Management Solutions Group as custodian of Home Control’s cash and securities; and 2) a subscription letter through which Home Control invested in a financial product.

As part of the disciplinary action, Gao Yu must complete 20 hours of training covering directors’ duties, the Corporate Governance Code, and compliance with Rule 2.13 and Chapter 14 of the Listing Rules.

China Feihe’s board—excluding Gao Yu—evaluated the circumstances and determined that: • The Statement contains no finding that Gao Yu is unfit to serve as a director of Hong Kong-listed companies. • The incident involves no allegation of dishonesty or fraud on Gao Yu’s part. • Gao Yu has confirmed he will fulfil the mandated training. • The matter is unrelated to China Feihe’s operations, directors, or senior management other than Gao Yu.

Consequently, the board concluded that Gao Yu’s ability to discharge his duties as a non-executive director of China Feihe is unaffected and he remains suitable to continue in his role. No additional information requiring disclosure under Listing Rules 13.51(2)(h)–(v) or 13.51B(2) was identified.
