KARRIE INT'L (01050) has announced the completion of the placement matter. The transaction was finalized on February 2, 2026, in accordance with the terms of the placement and subscription agreement. The placement agent successfully placed a total of 65.832 million shares at HK$2.37 per share to no fewer than six placees. To the best of the directors' knowledge, information, and belief, following reasonable inquiries, the placees and their ultimate beneficial owners are all independent third parties. None of the placees became a major shareholder of the company upon completion of the placement. As all conditions for the subscription have been satisfied, the company allotted and issued 65.832 million subscription shares to the vendor at HK$2.37 per share on February 11, 2026, under the agreement. The net proceeds from the subscription, after accounting for expenses related to both the placement and subscription, amount to approximately HK$152 million.
