Swire Pacific (00019, 00087) Announces Update on Disposal of Minority Interest in Vietnam Coca-Cola Bottling Operation

Hong Kong Exchanges and Clearing Limited and The Stock Exchange of Hong Kong Limited disclaim responsibility for the contents of Swire Pacific Limited’s announcement dated 27 February 2026. The announcement refers to the disposal of a 30% minority interest in the Coca-Cola bottling operation in Vietnam, originally outlined on 9 February 2024.

Coca-Cola Indochina Pte. Ltd. (CCI), an indirect wholly owned subsidiary of Swire Pacific, had entered into a Vietnam charter capital transfer arrangement (the Vietnam CTA) with ThaiNamthip Corporation Public Company Limited (TNT). Subsequently, TNT became a non-wholly owned subsidiary of Swire Pacific. On 27 February 2026, both parties agreed to terminate the Vietnam CTA with immediate effect.

On the same date, SCCL, the sole shareholder of CCI prior to completion, and ThaiNamthip Holdings Limited (TNH), an approximately 99.99% owned subsidiary of TNT, entered into a share purchase agreement (the CCI SPA). Under this agreement, TNH acquired 30% (260,020,890 shares) of CCI for US$221.10 million (approximately HK$1,724.60 million). Upon completion, TNT, through TNH, indirectly holds 30% of the charter capital of the Vietnam Subsidiary via its 30% shareholding in CCI.

As a result, CCI and the Vietnam Subsidiary remain non-wholly owned subsidiaries of Swire Pacific. Termination of the Vietnam CTA constitutes a material variation of the original disposal under the Listing Rules. The new transaction under the CCI SPA does not constitute a notifiable or connected transaction for Swire Pacific pursuant to Chapter 14 and Chapter 14A of the Listing Rules respectively.
