Prosperous Future renews Empire Centre lease; to book HK$4.95 million right-of-use asset

Prosperous Future Holdings Limited (Prosperous Future) announced that its indirect wholly-owned subsidiary, PFH FinTech Limited, signed a new three-year tenancy agreement on 24 June 2026 for Units 704 and 705A, 7/F, Empire Centre, 68 Mody Road, Tsim Sha Tsui, Kowloon, Hong Kong.

Under the agreement, total rent over 1 July 2026 to 30 June 2029 amounts to approximately HK$5.35 million, exclusive of management fees, air-conditioning charges and government rates. A security deposit of about HK$0.80 million—equivalent to four months’ rent, management and air-conditioning fees plus one quarter of government rates—was paid upon signing.

In line with IFRS 16, Prosperous Future will recognise a right-of-use asset valued at roughly HK$4.95 million. This recognition classifies the lease renewal as an asset acquisition; the highest applicable percentage ratio exceeds 5% but remains below 25%. Consequently, the deal is treated as a discloseable transaction under Chapter 14 of the Hong Kong Listing Rules, requiring disclosure but not shareholder approval.

The landlord, Hornbrook Investment Limited—ultimately owned 50% by Mr. Robert Ng Chee Siong and 50% by Mr. Philip Ng Chee Tat—is independent of Prosperous Future and its connected persons.

Management cited operational stability, avoidance of relocation costs and market-aligned rental terms as the primary reasons for renewing the lease.
