SHANGHAI FUDAN (01385) announced that on November 14, 2025, Fuxi Fangaoke and Guosheng Investment signed a framework agreement for the transfer of shares in Shanghai Fudan Microelectronics Group. Guosheng Investment plans to acquire 106,730,000 A-shares held by Fuxi Fangaoke via negotiated transfer, representing 12.99% of Fudan Microelectronics' total shares. Upon completion, Guosheng Investment will become the largest shareholder of Fudan Microelectronics. The company will remain without a controlling or actual controller, and the transaction will not significantly impact operations or trigger a mandatory offer.

On December 23, 2025, the parties formally executed the share transfer agreement. The total consideration amounts to approximately RMB5.144 billion, or RMB48.20 per share.
