Rongzhong Fin pushes back HK$4.24 million promissory-note redemptions to 2027–28

China Rongzhong Financial Holdings (Rongzhong Fin) has secured an extension of the maturity dates for two zero-coupon promissory notes originally issued to Solomon Glory, a wholly owned unit of controlling shareholder Goldbond.

• Instruments affected – 2025 Promissory Note: principal HK$3.16 million, issued 30 Jul 2025, original tenor 13 months. – 2026 Promissory Note: principal HK$1.08 million, issued 3 Feb 2026, original tenor 13 months.

• Revised maturities – 2025 Promissory Note: deferred from August 2026 to 28 Sep 2027. – 2026 Promissory Note: deferred from March 2027 to 1 Apr 2028.

• Outstanding balance – Combined principal outstanding as of the announcement date (30 Sep 2026): HK$4.24 million.

• Transaction background The notes were part of the consideration structure for a prior acquisition, calculated as 120% of the 20-day average closing price of Rongzhong Fin shares (HK$0.198) multiplied by the number of transfer shares supplied by Solomon Glory.

• Governance and compliance As Solomon Glory is a subsidiary of Goldbond, the company’s controlling shareholder, the extension constitutes connected financial assistance under Chapter 14A of the Hong Kong Listing Rules. The board classified the revised terms as on “normal commercial terms or better,” with no additional security granted, rendering the transaction fully exempt under Rule 14A.90.

All other provisions of the two promissory notes remain unchanged. The board considers the extensions fair and in the interests of shareholders, and will release further updates in accordance with Listing Rules requirements.
