Sunshine Oilsands Proposes Overhaul of Articles to Facilitate Paperless Listing and Virtual Meetings

Bulletin Express
05/15

Sunshine Oilsands Ltd. (Sunshine Oilsands) plans to adopt amended and restated articles of incorporation and by-laws to align with recent regulatory changes and broaden the ways shareholders can participate in meetings.

The board has tabled a series of amendments designed to: 1. Comply with the expanded paperless listing regime and the forthcoming uncertificated securities market, as reflected in the latest updates to Hong Kong’s Listing Rules. 2. Allow annual and special general meetings to be held physically, in hybrid format or entirely through electronic means. 3. Introduce associated housekeeping refinements to ensure consistency with applicable law and the revised Listing Rules.

Shareholders will vote on the special resolution at the company’s annual meeting scheduled for 21 June 2026 (Calgary) / 22 June 2026 (Hong Kong). The new articles will become effective immediately upon approval.

A circular detailing the proposed changes, together with the meeting notice and proxy form, will be posted on the websites of Sunshine Oilsands, SEDAR and the Hong Kong Stock Exchange in due course.

The announcement was authorised by Executive Chairman Kwok Ping Sun and released on 15 May 2026 in both Hong Kong and Calgary.
