ContiOcean to Reallocate RMB119.0 Million of IPO Proceeds; Nominates New Independent Director Ahead of 17 July EGM

ContiOcean Environment Tech Group Co., Ltd. has called a second extraordinary general meeting (EGM) for 17 July 2026 in Shanghai to seek shareholder approval for two key items: (1) a revised deployment of its remaining initial public offering (IPO) funds and (2) the appointment of Ms. Kung Man as an independent non-executive director (INED).

IPO PROCEEDS REALLOCATION • ContiOcean raised HK$273.40 million (approximately RMB253.20 million) from its January 2025 Hong Kong listing. As of 15 April 2026, RMB134.20 million had been spent, leaving RMB119.0 million unutilised. • The board proposes notable shifts in how the balance will be applied: – Capacity expansion: allocation rises to RMB67.90 million (up RMB30.0 million), combining plant leasing, potential acquisitions and upgrades to existing factories. – Cooperative R&D: budget increases to RMB8.50 million (up RMB5.0 million) to deepen partnerships with universities, enterprises and research institutes. – M&A fund reduced to RMB19.90 million (down RMB18.0 million) to balance domestic and overseas targets amid geopolitical uncertainties. – Recruitment of 13 additional R&D staff trimmed to RMB4.0 million (down RMB5.0 million) with hiring completion now expected by end-2026. – International service-centre rollout cut to RMB8.20 million (down RMB12.0 million) as the company pivots to a lighter “online-plus-regional” model. • Timelines shift: completion of production-facility expansion is now targeted by end-2026, while collaborative R&D runs through 2027.

BOARD CHANGE • The company proposes appointing Ms. Kung Man, 54, as INED following the resignation of Ms. Ng Sin Kiu. Ms. Kung brings more than two decades of legal and capital-markets experience, including senior roles at XCap Partners, China Construction Bank (Asia), HSBC and Clifford Chance. • She holds a Bachelor of Social Science and a Postgraduate Certificate in Laws from The University of Hong Kong, is qualified as a solicitor in Hong Kong and England & Wales, and is licensed by the SFC for Type 1 and Type 4 activities. • Subject to shareholder approval, Ms. Kung will serve until the end of the board’s current term, receiving an annual remuneration of HK$0.18 million.

EGM DETAILS The EGM will be held at 10:00 a.m. on 17 July 2026 at ContiOcean’s Shanghai headquarters. The H-share register will be closed from 16 July to 17 July 2026 (both days inclusive) to determine voting eligibility.
