Gpixel Raises 2026 Cap on Luster Transactions to RMB40 Million, Sets New RMB42 Million Annual Limits for 2027-29

Gpixel Changchun Microelectronics Inc. (Gpixel; HK:03277) has raised the maximum value of its 2026 continuing connected transactions with LUSTER LightTech Co., Ltd. (Luster) and simultaneously signed a new three-year framework agreement to cover business from 2027 through 2029.

Revised 2026 cap • The existing annual cap under the 2026 Luster Framework Agreement has been lifted from RMB15.00 million to RMB40.00 million (USD5.50 million). • Management cites stronger-than-expected demand for industrial inspection cameras, Luster’s expanded market position following its acquisition of JAI A/S, and seasonally higher second-half shipments. • Through 30 June 2026, Gpixel had booked RMB7.80 million (USD1.07 million) in sensor sales to Luster, versus RMB10.40 million for full-year 2025 and RMB5.96 million for 2024.

Renewed framework for 2027-2029 • A new agreement, effective 1 January 2027 to 31 December 2029, extends the supply of CMOS image sensors and related services to Luster. • Annual caps are set at RMB42.00 million (USD5.78 million) for each of the three years. • Pricing will reference prevailing market rates and will be no less favourable than terms offered to independent third parties.

Regulatory and governance aspects • Luster qualifies as a connected person because Gpixel’s non-executive director Ms. Yang Yi and her spouse collectively hold 47.04 % of Luster. • The revised and new caps trigger percentage ratios above 0.1 % but below 5 % under Hong Kong Listing Rule 14A, requiring disclosure, reporting and annual review but not independent shareholder approval. • Ms. Yang Yi abstained from Board voting on the transactions. Independent non-executive directors and the Board consider the terms fair, reasonable and in the interests of all shareholders. • Gpixel has outlined monthly contract reviews, price benchmarking, Board and audit-committee oversight, and annual auditor verification to ensure compliance with the agreed pricing principles and cap limits.

Strategic rationale Management expects continued growth in demand for CMOS image sensors from Luster, driven by AI-enabled industrial inspection, semiconductor capacity expansion and new-energy applications. The upstream-downstream partnership is viewed as mutually beneficial, leveraging Gpixel’s high-performance sensor design capabilities and Luster’s market reach in industrial cameras and vision systems.
