CHINA RE: Regulator Clears He Xingda for Board, Audit & Risk Roles; Jia Xiangxiang Steps Down

Hong Kong, 7 August 2026 – China Reinsurance (Group) Corporation (CHINA RE) announced that the National Financial Regulatory Administration (NFRA) has approved Mr. He Xingda’s qualification as a non-executive director. His appointment, effective 4 August 2026, also includes positions as:

• Member of the Audit Committee • Member of the Nomination and Remuneration Committee • Member and Chairman of the Risk Management Committee

Mr. He will serve until the end of the Group’s fifth board session, with eligibility for re-election thereafter. His nomination was previously disclosed in circulars dated 30 March, 29 April and 29 May 2026, and no additional changes to his disclosed biographical details were noted.

Concurrently, the Board confirmed the resignation of Ms. Jia Xiangxiang, effective 7 August 2026. Ms. Jia has vacated her roles as Non-Executive Director, Vice Chairlady of the Audit Committee, and member of both the Nomination and Remuneration Committee and the Risk Management Committee, citing a change in work arrangements. She expressed no disagreement with the Board, which in turn acknowledged her contributions.

Post-adjustments, CHINA RE’s Board comprises eight directors: • 2 Executive Directors – Mr. Zhuang Qianzhi, Ms. Zhu Xiaoyun • 3 Non-Executive Directors – Mr. Yang Changsong, Mr. Zhou Zheng, Mr. He Xingda • 3 Independent Non-Executive Directors – Mr. Dai Deming, Ms. Ye Mei, Mr. Keung Yui Fai

The company states that routine governance procedures remain in place following these changes.
