Global New Material International Shares Drop Nearly 5% on Expected Annual Loss of at Least RMB 3.7 Billion

Global New Material International (06616) fell nearly 5%, declining 4.68% to HK$7.34 by the time of writing, with a turnover of HK$4.8846 million. The drop follows the company's recent announcement projecting a shareholder-attributable loss between RMB 3.7 billion and RMB 3.9 billion for the 2025 fiscal year. The group expects an overall loss ranging from RMB 2.8 billion to RMB 3.2 billion for the same period. The difference between the shareholder-attributable loss and the total loss is mainly due to varying acquisition dates of different business units. In contrast, for the year ended December 31, 2024, the group reported a shareholder-attributable profit of approximately RMB 2.42 billion and a total profit of about RMB 3.2 billion.

According to the announcement, the board attributes the expected 2025 loss primarily to the following factors: increased acquisition-related costs and financial expenses. On July 31, 2025, the group completed the acquisition of Merck Group's global surface solutions business, which resulted in one-time transaction costs and professional fees of approximately RMB 2.2 billion, as well as fair value adjustments and intangible asset amortization totaling around RMB 1.8 billion. Additionally, the group is in the early stages of global business integration following the acquisition. This includes transition service agreement fees paid to Merck for German operations and other costs related to the spin-off from Merck, amounting to roughly RMB 1.4 billion, which are reflected in the 2025 results.
