SMART FISH Secures Shenzhen Office Floor for RMB 26.00 Million via Debt Set-Off

Smart Fish Wealthlink Holdings Limited (SMART FISH) announced that on 15 May 2026 its wholly owned subsidiaries Daqi Culture (Shenzhen) Co., Ltd. (purchaser) and Top Billion Finance Ltd. (lender) signed a conditional Sale and Purchase Agreement to acquire a full-floor commercial property in Futian District, Shenzhen, for RMB 26.00 million (HK$29.94 million).

Under the agreement, the consideration will be settled entirely through a dollar-for-dollar set-off against approximately HK$71.64 million in outstanding sums owed by the vendor, Shio Tian Ho, to Top Billion Finance. No cash outflow is therefore required from the group.

The property comprises an entire floor of a commercial building with a gross floor area of about 987 sq m. An independent market valuation placed its worth at approximately RMB 29.61 million, 13.9% above the agreed purchase price. Upon completion, the asset will be used as the group’s mainland China office to support expansion, particularly its securities, futures, financial investment, money-lending and AI-driven short drama businesses. The vendor has committed to assist in obtaining the building ownership certificate within five years after completion.

Completion is expected within three business days after all conditions—regulatory approvals, warranty compliance and a satisfactory PRC legal opinion on the property—are met, and no later than 30 June 2026 unless extended by mutual agreement. Post-transaction, SMART FISH will hold full ownership of the property.

Because the highest applicable percentage ratio exceeds 5% but is below 25%, the acquisition is classified as a “discloseable transaction” under Chapter 14 of the Hong Kong Listing Rules, requiring announcement but not shareholder approval.
