BANK OF GUIZHOU (06199) announced that, as the primary sponsoring bank of Longli Guofeng, it intends to assume all of the latter's deposits.

This matter was approved at the bank's shareholders' meeting convened on December 10, 2025.

The deposit assumption agreement will become effective after the confirmation agreement is signed on January 12, 2026.

According to the deposit assumption agreement, from the assumption date, the bank will take over the debts and associated rights formed under the subject deposits from Longli Guofeng.

As of the assumption date, the total principal and interest of the subject deposits amounted to RMB 1.913 billion; subtracting the related interests to be transferred with the debts from Longli Guofeng, the final consideration for the assumption is RMB 1.849 billion.

The bank's assumption of the subject deposits and acceptance of the trust benefit settlement will facilitate the completion of Longli Guofeng's reform plan and fully protect the legitimate rights and interests of relevant parties, including depositors, creditors, and employees.

The terms of the deposit assumption agreement and the transactions under it are fair and reasonable, aligning with the overall interests of the bank and its shareholders.
