05/20

Lingbao Gold Group Company Ltd. disclosed on 20 May 2026 that it repurchased 1.29 million H-shares on the Hong Kong Stock Exchange the same day. The on-market transactions were executed at prices between HK$17.42 and HK$18.11 per share, resulting in a volume-weighted average cost of HK$17.77 and an aggregate consideration of HK$22.88 million.

The repurchased shares represent 0.11% of Lingbao Gold’s 1.20 billion issued H-shares (excluding treasury shares) outstanding before the transaction. All 1.29 million shares are earmarked for cancellation and have not yet been retired as of the disclosure date.

Prior to the buyback, the company held 1.22 million treasury shares. The latest transaction raises the pool of shares awaiting cancellation to 1.29 million, while the total issued share count remains unchanged at 1.20 billion until cancellation is effected.

The purchase was made under a share-repurchase mandate approved on 19 May 2026 that authorises the company to buy back up to 119.96 million H-shares, or 10% of its issued H-share capital. The latest transaction utilises roughly 1.07% of that mandate.

In line with Hong Kong listing rules, Lingbao Gold is subject to a 30-day moratorium—up to 19 June 2026—on issuing new shares or disposing of treasury shares following the buyback.
