Kafelaku Coffee Holding Limited (Stock code: 1869) has announced several board changes effective from 30 January 2026. Two directors, an executive director and an independent non-executive director, have resigned to devote more time to other business commitments, while two new directors have been appointed.

Executive Director Ms. Leung Ka Wai resigned, confirming no disagreement with the Board. Independent Non-Executive Director Mr. Chan Yan Kin Philip also stepped down, relinquishing his positions as chairman of the Legal Compliance Committee and memberships in the Audit Committee and Nomination Committee.

The Board appointed Ms. Ou Shu, aged 40, as Executive Director. She has 17 years of experience in retail chain operations, including co-founding and managing related companies. Ms. Ou will hold office for one year and receive an annual remuneration of HKD108,000.

Additionally, Ms. Zhao Yuanyuan, aged 37, has joined as an Independent Non-Executive Director. She brings over 16 years of experience in business and administration management. Ms. Zhao has also been named chairman of the Legal Compliance Committee and a member of both the Audit Committee and the Nomination Committee. She will hold office for one year with annual remuneration of HKD148,000. The Board confirmed her independence according to the Listing Rules.

Following Mr. Chan’s resignation and Ms. Zhao’s appointment, the company has regained compliance with Code B.3.5 under Part 2 of Appendix C1 of the Listing Rules. The Board expressed appreciation to the outgoing directors and welcomed the new appointees, noting that these changes fulfill the requirement of including more than one gender in the Nomination Committee.
