Smart Fish Clarifies Internal-Control Review and Publishes Three-Year Financial Records of Four Newly-Acquired Units

Smart Fish Wealthlink Holdings Limited (“Smart Fish”, 00139) issued a supplemental circular on 29 May 2026 addressing two principal matters: (1) enhancement of its internal-control framework following Listing Rules non-compliance, and (2) release of audited financial statements for the four target companies acquired in February 2025.

Internal-control review • Smart Fish has appointed an independent professional firm as Internal-Control Consultant to examine system-wide compliance controls. • The review is scheduled for completion in 2H 2026, after which the Board will confirm whether the strengthened procedures are “adequate and effective”. • Management will announce the detailed enhancement plan, any material updates and the final completion status in accordance with Listing Rules.

Historical financial information of the target companies Audited accountants’ reports covering FY-2023 to FY-2025 are now available for Chinese Top Asset Management Holdings (“Target A”), Bright Joy Investment (“Target B”), Dragon Huge Development (“Target C”) and Treasure Nice Investment (“Target D”). Key data are summarised below:

1. Target A – 100 % stake • Revenue: nil across the three years. • Net losses: HK$24.14 million (2023), HK$73.77 million (2024), HK$28.86 million (2025). • Equity swung from a HK$127.90 million deficit (2023) to a HK$21.38 million surplus (2024) after a HK$223.04 million shareholder injection, finishing 2025 with a HK$7.48 million deficit. • Cash balance at end-2025: HK$9,000.

2. Target B – 51 % stake • Revenue: nil for all periods. • Net losses: HK$0.01 million (2023), HK$32.30 million (2024), HK$231.86 million (2025). • A HK$271.87 million capital contribution turned equity from a HK$56,000 deficit (2023) to HK$239.51 million (2024); equity fell to HK$7.66 million by 2025 year-end. • Cash on hand at end-2025: HK$2.02 million.

3. Target C – 100 % stake • Revenue: nil for all periods. • Net results: loss of HK$15.09 million (FY-2023), HK$3.61 million (FY-2024), HK$1.40 million (FY-2025); additional HK$28.56 million loss in the nine months to 31 Dec 2025. • HK$53.36 million shareholder injection (Jan 2025) moved equity from a HK$43.47 million deficit (2024) to HK$8.49 million surplus (Mar 2025), before a HK$20.07 million deficit as at Dec 2025. • Cash at 31 Dec 2025: HK$26,000.

4. Target D – 100 % stake • Rental income: HK$1.31 million (FY-2023) and HK$1.17 million (FY-2024); none thereafter. • Net losses: HK$2.38 million (FY-2023), HK$0.28 million (FY-2024), HK$5.70 million (FY-2025); additional HK$5.10 million loss in the nine months to 31 Dec 2025. • HK$22.69 million shareholder injection (Jan 2025) converted a HK$11.72 million deficit into HK$5.27 million equity (Mar 2025); equity stood at HK$0.17 million on 31 Dec 2025. • Cash at 31 Dec 2025: HK$0.11 million.

Next steps Smart Fish will update investors on the progress of the internal-control overhaul and the integration of the four targets as milestones are reached. The company emphasised that all remedial actions, including the consultant’s recommendations, will be disclosed in accordance with Listing Rules requirements.
