Pacific Legend Plans Three-fold Authorised Capital Hike and HK$24.50 Million Share Placement at 43.75% Premium

Pacific Legend Group Limited has unveiled two capital measures that will be put to shareholders at an extraordinary general meeting (EGM).

The board will seek approval to increase the company’s authorised share capital to HK$300.00 million from HK$100.00 million by creating 2.00 billion new shares. Post-approval, the company would have 3.00 billion authorised shares, of which 886.73 million are issued and 2.11 billion remain unissued.

Concurrently, the company has entered into a conditional subscription agreement with independent third-party investor Ms. Wong Yuet Sheung Jovi. Key terms are as follows: • Shares to be issued: 177.34 million new shares (par value HK$0.10 each). • Subscription price: HK$0.138 per share, a 43.75% premium to the HK$0.096 closing price on 19 August 2026 and a 46.81% premium to the five-day average closing price of HK$0.094. • Gross proceeds: HK$24.50 million; net proceeds: approximately HK$24.00 million, implying a net issue price of HK$0.135 per share.

Dilution and Post-issue Structure The new shares represent 20.00% of Pacific Legend’s existing issued share capital and 16.67% of the enlarged share base. Upon completion, total issued shares will rise to approximately 1.06 billion. The subscriber’s stake will increase from 1.80% to 18.17%, while public shareholders’ aggregate holding will decline from 78.79% to 65.66%.

Use of Proceeds Management plans to deploy the HK$24.00 million net proceeds entirely for general working-capital purposes: • HK$9.00 million for salaries, remuneration, rent and trade-related expenses. • HK$5.00 million for other operating and administrative expenses. • HK$10.00 million to replenish future working capital.

Conditions and Timetable The share subscription and the authorised capital increase are conditional on: 1. Shareholder approval by poll at the forthcoming EGM. 2. Listing Committee approval for the listing of, and permission to deal in, the new shares. If these conditions are not met by 21 September 2026, the agreement will lapse. Completion is scheduled within seven business days after all conditions are satisfied.

Background and Recent Fundraising Pacific Legend, an investment holding company focused on home furniture sales, leasing and design consultancy, has raised approximately HK$53.40 million through four equity financings since November 2025. The company states that all prior proceeds have been fully utilised or allocated in line with disclosed plans.

The current initiatives aim to expand the authorised capital base for future growth flexibility, strengthen liquidity, and broaden the shareholder base without incurring additional borrowing costs. Shareholders and potential investors are advised to note that the subscription remains subject to the aforementioned approvals.
