Bank of Jiujiang: 2026 Second EGM Clears Domestic Share Issuance and Sub-authorisation Motions with Unanimous Votes

Bank of Jiujiang held its 2026 second extraordinary general meeting alongside separate Domestic Shareholders and H Shareholders class meetings on 21 August 2026 in Jiujiang, Jiangxi. All proposed special resolutions—namely the adjustment of sub-authorisations to relevant persons and the confirmation of matters relating to a planned Domestic Share issuance—were approved with 100.00 % of votes cast across all three meetings.

The EGM quorum represented 1.82 billion shares, or 63.86 % of the bank’s total 2.85 billion issued shares. Voting rights attached to 33.54 million shares were restricted in accordance with regulatory requirements and the Articles of Association.

Within the Domestic Shareholders meeting, 1.76 billion Domestic shares participated, again delivering a full 100.00 % approval rate. The H Shareholders meeting recorded attendance of 59.24 million H shares, also delivering unanimous support.

Jiujiang Finance Bureau (406.02 million Domestic shares, 14.26 % of total capital) and Industrial Bank (294.40 million Domestic shares, 10.34 %) abstained from voting on the related-party resolutions as required. No other shareholders were subject to mandatory voting restrictions, and no votes were cast against or abstained from any agenda item.

Computershare Hong Kong Investor Services and Jiangxi Chai Sang Law Firm acted as scrutineers, confirming the validity of the poll results. The meetings were chaired by Zhou Shixin, who currently heads the 10-member board comprising two executive, four non-executive and four independent non-executive directors.
