Datang International Power Generation Co., Ltd. (Datang Power) held the 14th meeting of its 12th-session board on 26 June 2026, with 12 of 15 directors attending in person and three voting by proxy. All seven resolutions on the agenda passed unanimously among eligible voters.
Song Bo was unanimously elected chairman of the 12th-session board, replacing Li Xiaofei. Song will also serve as convener of the Strategic Development and Risk Control Committee, whose membership now comprises independent director Xie Qiuye and directors Pang Xiaojin, Ma Jixian, Wang Jianfeng, Li Zhongmeng and Jin Shengxiang.
Directorate changes include the nomination of Han Xuwang as a non-executive director, subject to shareholder approval, and the resignation of Ma Jixian from the board upon Han’s confirmation. Han, aged 55, is currently a full-time director at China Datang Corporation Ltd. and will receive no remuneration from Datang Power for his board role.
Sun Yanwen, 55, was appointed General Legal Advisor and Chief Compliance Officer with immediate effect, succeeding Qiao Yang. Sun continues to serve as chief accountant, board secretary and joint company secretary.
Operational decisions were also ratified: • Fuzhou Phase II Project: minimum equity capital ratio raised to 30%, up from 20%. • Lüsi Forward Contract Energy Management Project: approval to acquire related assets at an appraised value of RMB 76.53 million. The transaction constitutes a related-party deal; four directors abstained from voting.
Additionally, the board approved the establishment of a Trade Union Work Department at headquarters to strengthen employee representation.
All resolutions met statutory and corporate governance requirements, with no opposing or abstaining votes recorded.
