DEEP SOURCE authorises on-market repurchase of up to 1.48 billion shares, equal to 10% of issued capital

Deep Source Holdings Limited (DEEP SOURCE) has resolved to activate the share-repurchase mandate approved at its 30 June 2026 annual general meeting, enabling the company to buy back up to 1.48 billion shares—representing 10% of the issued share capital as at the AGM date—on The Stock Exchange of Hong Kong.

The board decision, made on 21 July 2026, allows DEEP SOURCE to carry out open-market purchases under the existing mandate and any subsequent mandates endorsed by shareholders. Management stated that the prevailing market price does not reflect the shares’ intrinsic value or the Group’s business prospects, and views the repurchase initiative as a demonstration of confidence in the company’s outlook.

All buybacks will adhere to the company’s memorandum and bye-laws, Hong Kong Listing Rules, the Codes on Takeovers and Share Buy-backs, the Bermuda Companies Act 1981, and other applicable regulations.

Execution of the repurchase programme remains subject to market conditions and board discretion. The company cautioned shareholders and potential investors that there is no assurance regarding the timing, quantity or price of any share buybacks—and no guarantee that any repurchases will ultimately occur.
