• Transaction details: The shares were acquired on-market the same day at prices between HK$2.56 and HK$2.68, with a volume-weighted average cost of HK$2.65 per share.
• Capital impact: The buyback represents 0.03% of Zhongyu Energy’s pre-transaction issued share base and lifts treasury shares to 48.08 million. Issued shares outstanding (excluding treasury shares) decreased to 2.70 billion, while the total issued share count remains 2.75 billion.
• Mandate utilisation: Under the repurchase mandate approved on 26 June 2026 for up to 270.56 million shares, cumulative buybacks now stand at 5.38 million shares, equal to 0.20% of the company’s issued share capital at mandate date.
• Post-repurchase restrictions: In line with Hong Kong listing rules, Zhongyu Energy is subject to a moratorium on new share issues or treasury share disposals until 05 August 2026.
The board confirmed that all repurchase procedures complied with the Hong Kong Stock Exchange’s Main Board Rules and other applicable regulations.
