Midea Real Estate Holding Limited (3990) reported that its extraordinary general meeting took place on 27 October 2025. According to the official announcement, shareholders voted on two resolutions by way of poll.
The first resolution concerned approval, confirmation, and ratification of the Supplemental Agreement and revised annual caps for real estate technology services provided to Midea Construction. This resolution was successfully passed as an ordinary resolution, receiving 100% of the votes cast in favor. The second resolution focused on amendments to the existing memorandum and articles of association and was approved as a special resolution, also receiving 100% of votes cast in favor.
The company noted that, as of the date of the meeting, 1,435,411,483 shares were in issue. Of these, 4,770,000 shares (representing about 0.33% of total issued shares and held in trust for the share award scheme) abstained from voting on all resolutions. In addition, controlling shareholders and their associates, holding a combined total of 1,164,606,463 shares (about 81.13% of issued shares), abstained from voting on the first resolution. As a result, 266,035,020 shares (about 18.54% of issued shares) were entitled to vote on the first resolution.
The poll was scrutinized by Tricor Investor Services Limited, the company's branch share registrar and transfer office in Hong Kong. Both resolutions were duly passed in accordance with the required thresholds: over 50% for the ordinary resolution and over 75% for the special resolution.
