Aidigong Issues Quarterly Resumption Update, Faces Board Changes, Ongoing Litigation and Prolonged Trading Suspension

The latest announcement from Aidigong Maternal & Child Health Limited outlines continued operational challenges and regulatory non-compliance amid a prolonged suspension of its Hong Kong-listed shares.

Business and Financial Position • Operations remain active, but the company reports a limited cash balance and has yet to secure viable fundraising avenues. • Owing to an inability to obtain financial information from major subsidiary Shenzhen Aidigong, management cannot provide a timetable for releasing audited financial results and annual reports for FY2024 and FY2025.

Forensic Investigation • On 19 March 2026, the Independent Board Committee appointed Citylinkers Corporate Advisory Services Limited to conduct a forensic review into matters surrounding Shenzhen Aidigong and related allegations. A findings report will be delivered to the committee.

Litigation Developments • A lawsuit on the validity of resolutions and the change of legal representative was heard by Shenzhen Futian People’s Court on 23 March 2026; judgment is pending. • The first arbitration hearing is scheduled for 13 October 2025, with the judgment deadline extended to 1 June 2026. The company is seeking further legal advice.

Board and Governance Changes • Independent Non-Executive Director (INED) Mr. Wang Bin resigned effective 20 May 2026, citing other business commitments. • Following his departure, Executive Director Mr. Li Runping became chairman of the Remuneration and Nomination Committees, while Executive Director Mr. Huang Wenhua joined both committees as a member. • The board now comprises two executive directors and one INED, leaving the company below the minimum INED and Audit Committee requirements under Listing Rules 3.10(1), 3.10A and 3.21. Aidigong is also non-compliant with Rule 13.92(2) on gender board diversity after the earlier resignation of an executive director. The search for new board members is ongoing.

Trading Status • Trading in Aidigong shares has been suspended since 21 February 2025 and will remain halted until further notice.

Shareholders and potential investors are advised to exercise caution in dealing in the company’s securities.
