Tencent Holdings Limited disclosed a minor change in its share capital and a new tranche of on-market share repurchases executed on 17 August 2026.

The group issued 21,075 new ordinary shares upon option exercise under its 2023 Share Option Scheme at a volume-weighted average price of HK$297.55. The issuance lifted Tencent’s outstanding share count by just 0.00023% to 9.10 billion shares.

On the same trading day, Tencent repurchased 673,000 ordinary shares on the Hong Kong Stock Exchange at prices ranging from HK$442.60 to HK$450.00, translating to an average cost of HK$446.84 per share and a total outlay of HK$300.72 million. All repurchased shares are earmarked for cancellation.

Since shareholders granted the current buy-back mandate on 13 May 2026 (authorising up to 911.80 million shares), Tencent has acquired 36.75 million shares, representing 0.403% of the issued share base at the mandate date.

Under Hong Kong listing rules, the latest repurchase triggers a 30-day moratorium—until 16 September 2026—on any new share issuance or sale/transfer of treasury shares by the company.
