Taung Gold International Limited (Taung Gold) has issued the proxy circular for its Annual General Meeting (AGM) scheduled for 28 August 2026 at 11:00 a.m. at Unit 1901, 19/F, Nina Tower, Tsuen Wan, Hong Kong.
Key ordinary resolutions to be tabled:
1. Financial Statements • Shareholders will consider and adopt the audited consolidated results and the reports of the directors and auditors for the financial year ended 31 March 2026.
2. Board Composition & Remuneration • Re-election of Executive Director Mr Phen Chun Shing Vincent. • Re-appointment of Independent Non-Executive Directors (INEDs) Mr Li Kam Chung and Mr Tsui Pang, both of whom have served on the Board for more than nine years. • Authorisation for the Board to determine directors’ remuneration.
3. Auditor • Proposal to re-appoint Deloitte Touche Tohmatsu as external auditor and authorise the Board to fix its remuneration.
4. Capital Management Mandates • Share repurchase mandate allowing buy-backs of up to 10% of the Company’s issued share capital. • General mandate empowering the Board to allot, issue and deal with additional shares not exceeding 20% of the existing share capital. • Extension of the issue mandate by the number of shares repurchased under the buy-back mandate.

• All resolutions will be decided by poll. • Proxy forms, together with any authorising documents, must reach Tricor Investor Services Limited (17/F, Far East Finance Centre, 16 Harcourt Road, Hong Kong) no later than 48 hours before the AGM. • Shareholders may attend and vote in person; submitting a proxy form does not preclude personal attendance.
The AGM will provide shareholders with the opportunity to review fiscal-year performance, confirm leadership appointments and authorise capital management tools aimed at enhancing flexibility in financing and shareholder returns.
