CARRY WEALTH (00643) and its joint offeror Zephyrus Capital Limited, along with Mr. Tsang Chun Ho, jointly announced that on September 4, 2025, Ms. Ma Xiao Qiu intends to sell all issued shares of Mars Worldwide to Zephyrus Capital Limited for a total consideration of HKD 54 million. As of the date of this joint announcement, Mars Worldwide holds 411,293,396 shares, which accounts for approximately 45.71% of the company's total issued share capital. Immediately following the completion of this transaction and as of the date of this announcement, the joint offeror and its concert parties collectively own 411,293,396 shares, maintaining the same percentage of ownership. In this regard, the offer agent of the joint offeror, Huafu Jianye Securities, will submit the offer on behalf of the joint offeror. The offer price is HKD 0.1331 per share, representing a discount of approximately 79.20% compared to the last trading price of HKD 0.640 per share on the Hong Kong Stock Exchange on September 4, 2025. Additionally, the company has applied to the Stock Exchange for the resumption of trading from 9:00 AM on October 27, 2025. Following the offer's conclusion, the joint offeror intends to continue the group's existing main business operations and maintain the company's listing status. The joint offeror will conduct a review of the group's business activities and assets to formulate plans and strategies for the group's future development.
