Yusei Holdings Limited will convene its Annual General Meeting (AGM) on 26 June 2026 at 3:00 p.m. at the company’s headquarters in Hangzhou, Zhejiang, China. Key resolutions to be tabled are as follows:

1. Financial Statements Shareholders will be asked to receive and consider the audited consolidated financial statements, together with the directors’ and auditors’ reports, for the year ended 31 December 2025.

2. Final Dividend The board recommends a final dividend of RMB1.30 cents per share. The share register will be closed from 6 July 2026 to 10 July 2026 for dividend entitlement.

3. Board Composition • Re-election of Mr. He Xiangli, Mr. Xu Yong and Mr. Manabu Shimabayashi as directors. • Authorisation for the board to determine directors’ remuneration.

4. Auditor Appointment Re-appointment of SHINEWING (HK) CPA Limited as external auditor for the coming year, with remuneration to be fixed by the board.

5. General Share Issue Mandate • Directors seek authority to allot and issue new shares up to 20% of the company’s existing share capital, with an additional mandate to extend the limit by the nominal amount of shares repurchased (capped at 10%). • The mandate will remain effective until the next AGM or its earlier revocation.

Administrative Details • Shareholders recorded on the register by 4:30 p.m. on 18 June 2026 will be eligible to attend and vote at the AGM; the register will be closed from 22 June 2026 to 26 June 2026. • Proxy forms must be lodged no later than 48 hours before the meeting.
