Meituan names Stephen Yiu as Independent Director and Audit Committee Chair, succeeding Orr Gordon

Hong Kong, 4 June 2026 — Meituan announced a forthcoming board reshuffle that will see Mr. Orr Gordon Robert Halyburton retire as independent non-executive director after the upcoming annual general meeting (AGM). To fill the vacancy, the board has nominated Mr. Yiu Kin Wah Stephen for election as an independent non-executive director; the appointment will take effect upon shareholder approval at the AGM.

Mr. Yiu, 65, is currently chairman of the Hong Kong Insurance Authority and holds board or advisory positions at Airport Authority Hong Kong, the Hong Kong Monetary Authority’s Exchange Fund Advisory Committee and several other public institutions. He previously served as chairman and chief executive officer of KPMG China and Hong Kong and sat on KPMG’s global and Asia-Pacific executive boards.

Mr. Yiu brings listed-company experience as an independent non-executive director of China Mobile (since March 2017), ANTA Sports (since June 2018) and Amer Sports (since February 2024). He held a similar role at Hong Kong Exchanges and Clearing from April 2017 to April 2023. Subject to election, he will sign an initial three-year appointment letter with Meituan and become both a member and chairperson of the audit committee.

As of the announcement date, Mr. Yiu owns 0.02 million Class B ordinary shares of Meituan.

Following Mr. Halyburton’s retirement, Ms. Yang Marjorie Mun Tak will join the corporate governance committee, also effective after the AGM.

The board expressed gratitude to Mr. Halyburton for his service and highlighted Mr. Yiu’s financial expertise as a strategic addition to Meituan’s oversight capabilities. A circular containing full biographical details and the AGM notice will be dispatched to shareholders in due course.
