Peijia Medical Limited (Peijia Medical) has convened its 2026 annual general meeting for 9:30 a.m. on 29 May 2026 at the company’s headquarters in Suzhou Industrial Park, Jiangsu Province, China.

Key agenda items include:

1. Financial Statements • Shareholders will vote on receiving and adopting the audited consolidated financial statements and the directors’ and auditor’s reports for the fiscal year ended 31 December 2025.

2. Board Composition • Re-election of four retiring directors: Chairman and executive director Dr. Yi Zhang, executive director Ms. Hong Ye, non-executive director Mr. Jun Yang and independent non-executive director Dr. Stephen Newman Oesterle. • The board will be authorised to determine directors’ remuneration.

3. Auditor • Deloitte Touche Tohmatsu is nominated to continue as external auditor until the next AGM, with the board empowered to set its remuneration.

4. Capital Management Mandates • Issuance Mandate: Authorisation for the board to allot, issue or deal with additional shares up to 20% of the company’s issued share capital (excluding any treasury shares) during the mandate period. • Share Buy-back Mandate: Authorisation to repurchase shares on the Hong Kong Stock Exchange or other recognised markets up to 10% of issued share capital (excluding treasury shares). • Mandate Extension: Subject to the above mandates being approved, the issuance limit may be expanded by the number of shares bought back, effectively adding a further 10% capacity.

5. Share Registration Details • The register of members will be closed from 26 May 2026 to 29 May 2026 (both dates inclusive). Share transfers for AGM eligibility must be lodged by 4:30 p.m. on 22 May 2026 with Computershare Hong Kong Investor Services Limited.

The board stated it currently has no immediate plans to issue new shares and will exercise the repurchase authority only when judged beneficial to shareholders.
