Zijin Gold Intl Elevates ESG Oversight by Upgrading Risk Committee to Sustainable Development and Risk Management Committee

Zijin Gold International Company Limited (Zijin Gold Intl) will overhaul its board‐level governance structure by converting the existing Risk and Internal Control Management Committee into a Sustainable Development and Risk Management Committee, effective 8 June 2026.

The reconstituted body will absorb all environmental, social and governance (ESG) responsibilities previously handled by the Audit Committee, centralising sustainability and risk functions under one mandate. Corresponding amendments to both committees’ terms of reference have been published on the HKEXnews and corporate websites.

Key structural changes include: 1. Committee size raised from a minimum of three directors to at least four, with independent non-executive director (INED) participation stipulated. 2. New appointments—non-executive director Wang Chun and INEDs Chan Hon and Hui Lai Kwan—expand the committee to six members. Guo Xian Jian remains chairman, supported by executive directors Huang Zhihua and Yiu Kai.

Operationally, the committee will oversee two dedicated offices: • ESG Office – responsible for planning, implementation and supervision of all ESG activities. • Risk Management Office – tasked with system development, supervision and continuous optimisation of risk controls.

By consolidating ESG and risk oversight, Zijin Gold Intl aims to strengthen accountability, streamline governance and reinforce its long-term sustainability framework, underscoring the board’s commitment to responsible growth.
