E-HOUSE ENT Advances Offshore Debt Restructuring; Scheme Creditor Meetings Scheduled for 27 Aug 2026

E-House (China) Enterprise Holdings Limited (E-HOUSE ENT) released an update on its offshore debt restructuring process following the auditor’s FY 2025 going-concern disclaimer.

Key developments since the 29 April 2026 annual report include:

1. Restructuring Documentation • 5 Jun 2026: A practice statement letter outlining the proposed Cayman scheme of arrangement was circulated to scheme creditors. • Restructuring covers the Company’s outstanding Notes and Convertible Note, to be addressed through parallel Cayman Islands and Hong Kong schemes of arrangement.

2. Shareholder Approvals • 16 Jun 2026: Shareholders authorised an increase in the Company’s share capital and granted a specific mandate for directors to issue scheme shares to participating creditors. Details were provided in a circular dated 29 May 2026.

3. Court-Mandated Scheme Creditor Meetings on 27 Aug 2026 • Hong Kong scheme: High Court order dated 30 Jun 2026 convenes the HK Scheme Meeting at 9:00 p.m. (Hong Kong time). • Cayman scheme: Grand Court order dated 9 Jul 2026 convenes the Cayman Scheme Meeting at 8:30 a.m. (Cayman Islands time). Both meetings will consider and, if appropriate, approve their respective schemes.

Management Statement The board expects a successful restructuring to strengthen the Group’s capital structure, enhance liquidity, and support its status as a going concern. Further material developments will be announced in line with Hong Kong Listing Rules and applicable laws.
