Two South Korean shipping firms, SK Shipping and H-Line Shipping, both controlled by private equity firm Hahn & Co., have reached an asset swap agreement. By exchanging vessels and long-term charters, they aim to merge and create one of the world's largest operators of liquefied natural gas (LNG) carriers.

According to a statement from Hahn & Co. on Thursday, SK Shipping will receive 16 LNG carriers and their attached long-term contracts from H-Line. In exchange, SK Shipping will hand over 12 oil tankers along with their contracts to H-Line and pay approximately $300 million in cash.

Once the deal is finalized, SK Shipping is set to become what Hahn & Co. describes as the world's third-largest LNG vessel operator. Meanwhile, H-Line will transform into a leading regional player in the tanker and bulk shipping sector.

Where to start

This asset swap is part of a multi-year restructuring process within South Korea's shipping industry. It coincides with months of geopolitical turmoil in the Persian Gulf region disrupting energy trade patterns, which has created lucrative opportunities for shipowners, charterers, and traders.

In the shipping industry, where freight rates are highly volatile, large, integrated fleets backed by long-term contracts often provide relatively predictable cash flows. Hahn & Co. stated that this swap will grant H-Line combined advantages, including "expanded scale, improved operational efficiency, and enhanced capital strength," amid rising geopolitical uncertainty.

Why just 10 ASX 200 shares?

Looking back at Hahn & Co.'s strategic moves: The firm established H-Line in 2014 by acquiring the long-term dry bulk business of Hanjin Shipping. In 2016, it further integrated the long-term dry bulk division of Hyundai Merchant Marine. In 2018, Hahn & Co. purchased an approximately 80% stake in SK Shipping from the SK Group, subsequently steering the company away from reliance on speculative spot market operations toward a more stable business model underpinned by secured long-term contracts.
