Autodesk to Acquire MaintainX in $3.6 Billion Deal, Expanding into Operations Management

Engineering software company Autodesk (ADSK.US) has agreed to acquire MaintainX, a company specializing in maintenance management tools. In a statement released on Thursday, Autodesk announced the all-cash transaction values MaintainX at $3.6 billion. Autodesk CEO Andrew Anagnost stated, "Autodesk is expanding into operations to ensure data and insights flow seamlessly across a continuous lifecycle."

MaintainX operates a computerized maintenance management system (CMMS) serving various industries, including agriculture, manufacturing, and food service. Its platform assists businesses with work order management, asset tracking, and maintenance scheduling. According to the announcement, the San Francisco-based MaintainX is projected to achieve a recurring annual revenue growth rate exceeding 50%, reaching over $135 million by 2026.

To fund the acquisition, Autodesk plans to use approximately $1.6 billion in cash, with the remaining balance to be covered by debt financing. The transaction is expected to close within Autodesk's fiscal year ending January 2027.

MaintainX CEO Chris Turlica commented in the statement, "By coming together, we can connect the teams that design and build assets with the teams that operate and maintain them every day."

Concurrently, Autodesk provided its current-quarter guidance, forecasting revenue of approximately $2.01 billion and non-GAAP earnings per share between $3.10 and $3.14. This outlook surpasses average analyst estimates, which called for revenue of $1.99 billion and earnings per share of $3.04.

For the first fiscal quarter ended April 30, Autodesk reported revenue of $1.93 billion, an 18% increase year-over-year, with non-GAAP earnings per share of $2.99.

Autodesk's stock closed at $240.95 on Thursday, declining approximately 6% in after-hours trading. Year-to-date, the stock has fallen about 19%, impacted by a broader sell-off in the application software sector.
