HC Group receives HKEX resumption guidance, launches forensic probe and delays board meeting

HC Group Inc. disclosed that it received formal resumption guidance from Hong Kong Exchanges and Clearing on 25 June 2026, outlining six key conditions that must be met before trading in its shares can restart. Core requirements include: 1) publication of all outstanding financial results and resolution of any audit modifications; 2) completion of an independent forensic investigation into 2025 B2B prepayments; 3) demonstration of management integrity and competence; 4) an external review confirming that internal control deficiencies have been fully rectified; 5) compliance with Listing Rule 13.24; and 6) full market disclosure of all material information.

To address the investigation requirement, the Group has appointed Grant Thornton Advisory Services Limited to conduct an independent review of 2025 prepayments involving certain suppliers. The company must remedy all issues and satisfy the exchange by 17 September 2027—an 18-month deadline set under Listing Rule 6.01A(1)—to avoid potential delisting.

In light of the ongoing audit work, the board meeting originally scheduled for 4 July 2026 to approve the 2025 annual results has been postponed. HC Group will announce a new date for the meeting, the release of its 2025 results and the subsequent annual report when timelines are confirmed.

Trading in HC Group shares has been suspended since 18 March 2026 and will remain halted until all resumption conditions are fulfilled. The company states that its operations “remain normal in all material respects” while it works toward meeting the exchange’s requirements.
