Tai Hing Group: AGM Clears All Resolutions, Confirms HKD0.05 Final Dividend

Hong Kong – 22 May 2026 – Tai Hing Group Holdings Limited (Tai Hing) announced that shareholders overwhelmingly backed every item on the agenda at today’s annual general meeting (AGM).

Dividend • A final dividend of HKD0.05 per share for the financial year ended 31 December 2025 was approved with 99.99% of votes in favour (566.26 million shares).

Board Composition • All five directors standing for re-election were returned with support ranging from 99.59% to 99.92%. • The Board was authorised to set directors’ remuneration, securing 99.76% approval (564.88 million shares).

Audit and Auditor • Ernst & Young was re-appointed as external auditor; 99.83% of votes (565.27 million shares) supported the resolution.

Capital Mandates • Share repurchase mandate: 99.93% approval, giving directors authority to buy back shares. • General issuance mandate: 95.27% approval for issuing, allotting or dealing with additional shares, including disposal of treasury shares. • Extension mandate: 95.27% approval to increase the issuance limit by the amount of shares repurchased.

Voting Structure • Total issued shares: 971.42 million. • All resolutions were ordinary resolutions requiring a simple majority; none attracted abstentions or contested polls under HKEX Listing Rules. • Tricor Investor Services Limited acted as scrutineer; all eight directors attended in person.

The strong endorsement across all resolutions reinforces shareholder support for Tai Hing’s dividend policy, board composition and capital management flexibility as the company moves into the 2026 financial year.
