Pharmaceutical Sector Welcomes New Powerhouse: Sun Pharma Acquires Organon in $11.75 Billion Deal

Indian pharmaceutical firm Sun Pharmaceutical Industries announced on Sunday that it has agreed to acquire Organon & Co. (OGN.US) in an all-cash transaction valuing the target company at $11.75 billion. This deal stands as one of the largest healthcare industry transactions of the year. Under the terms of the agreement, Organon shareholders will receive $14 in cash per share. The acquisition has received approval from the boards of both companies and is expected to close in early 2027, pending regulatory clearances and shareholder consent from Organon.

Organon, which was established in 2021 as a spin-off from Merck & Co., specializes in women's health, established medicines, and biosimilars, with its products marketed in approximately 140 countries. Sun Pharma indicated that the acquisition will significantly expand its international presence and add new capabilities in the areas of women's health and biosimilars. The combined entity is projected to generate revenues of around $12.4 billion, positioning it among the world's leading pharmaceutical companies by sales.

The transaction is also set to increase Sun Pharma's exposure to branded generics and established medicines, while strengthening its position in developed markets such as the United States and Europe. Sun Pharma plans to finance the acquisition through a combination of its existing cash reserves and committed bank financing. The company stated that the net debt-to-EBITDA ratio post-transaction is anticipated to be approximately 2.3x.

For the fiscal year ended December 31, Organon reported revenue of $6.2 billion and adjusted EBITDA of $1.9 billion. The company had total debt of $8.6 billion against cash holdings of $574 million at year-end. This acquisition comes at a time when pharmaceutical companies are increasingly pursuing scale to counterbalance pricing pressures, patent expirations, and rising research and development costs. For investors, the success of the deal will likely hinge on Sun Pharma's ability to effectively integrate Organon's product portfolio, manage its increased leverage, and drive growth from its expanded global platform.
