Foshan Haitian Flavouring and Food Company Ltd. (Stock Code: 3288) has entered into a property lease agreement with Foshan Tiande Technology Co., Ltd. (Foshan Tiande), a wholly-owned subsidiary of Guangdong Haitian Group Co., Ltd. (Guangdong Haitian). According to the agreement, Foshan Tiande will lease partial areas at No. 29 Jinming Road, Guicheng Subdistrict, Nanhai District, Foshan City, for the period from December 1, 2025, to November 30, 2028.

Guangdong Haitian, as the controlling shareholder, holds approximately 55.57% of the voting rights in Foshan Haitian Flavouring and Food Company Ltd. Foshan Tiande is therefore deemed a connected person under Chapter 14A of the Listing Rules. Pursuant to IFRS 16, Foshan Haitian Flavouring and Food Company Ltd. will recognize a right-of-use asset value of RMB67,476,123.43 in connection with the agreement. Under the Listing Rules, the transaction is considered an acquisition of assets, constituting a one-off connected transaction subject to announcement and reporting requirements, but exempt from a circular and independent shareholders’ approval.

The monthly rental ranges from RMB1,890,848 to RMB1,973,936 (all figures exclude tax), with settlement every six months. The rental was determined by referencing prevailing market rates and comparable leases in the vicinity. The purpose of the newly leased space is to serve as office premises, and Foshan Haitian Flavouring and Food Company Ltd. believes the transaction will enhance efficiency in daily business operations.

Over the past twelve months, other leases with Guangdong Haitian and its associates have also been recorded. The aggregated value of these arrangements surpassed the 0.1% threshold but remained below 5% under the Listing Rules, triggering the same announcement and reporting requirements. Several directors of Foshan Haitian Flavouring and Food Company Ltd. hold shares in Guangdong Haitian and abstained from voting on the relevant board resolutions.
