TE Healthcare Cancels EGM; HK$100.30 million Top Eminent II Acquisition Lapses

Top Eminent Healthcare Group Limited (TE Healthcare) has withdrawn the extraordinary general meeting (EGM) scheduled for 10:30 a.m. on 30 April 2026 in Hong Kong and confirmed that its proposed acquisition of all issued shares in Top Eminent II Limited, valued at HK$100.30 million, will not proceed.

The acquisition agreement, signed on 26 February 2026, required multiple conditions precedent—including relevant regulatory approvals and independent shareholder consent—to be satisfied or waived on or before the 30 April 2026 long-stop date. Management indicated that several key conditions remain outstanding and that, given the current regulatory timeline, moving forward with the EGM is “no longer practicable nor appropriate.”

Because the conditions will not be met by the deadline, the agreement automatically lapses. Under its terms, no party will retain further claims against the other except for rights or obligations accrued before termination. The board stated that the lapse is not expected to materially affect the Group’s existing operations.

Looking ahead, TE Healthcare reiterated its commitment to its long-term strategic direction. The company will continue to evaluate alternative structures or revised arrangements related to the transaction’s objectives, subject to regulatory requirements, and will provide further updates when appropriate.
