BONJOUR HOLD Plans to Issue 109 Million Subscription Shares at a 17.32% Discount

BONJOUR HOLD (00653) has announced that on February 6, 2026, the company entered into subscription agreements with the subscribers, Mr. Gao Jianxing and Mr. Zhang Yu. The subscribers have conditionally agreed to subscribe, and the company has conditionally agreed to issue a total of 109 million subscription shares at a subscription price of HK$0.105 per share for cash. The total subscription consideration amounts to approximately HK$11.4 million, subject to the terms and conditions contained therein.

The total number of subscription shares represents approximately 6.46% of the total number of existing issued shares as of the date of this announcement, and approximately 6.07% of the total number of issued shares as enlarged by the allotment and issue of the subscription shares. This calculation assumes no change in the total number of issued shares from the date of this announcement until the completion of the subscription. The subscription price of HK$0.105 per share represents a discount of approximately 17.32% compared to the closing price of HK$0.127 per share as quoted on the Stock Exchange on the date of the subscription agreement.

The subscription shares will be allotted and issued under the general mandate. The total gross proceeds from the subscription are expected to be approximately HK$11.4 million. The company intends to use the net proceeds from the subscription for its general working capital purposes.

The Board of Directors believes that the subscription provides the company with an opportunity to broaden its shareholder base, strengthen the group's capital structure, and improve its liquidity position. The subscription is expected to enhance the group's financial flexibility without incurring additional debt or associated interest and repayment obligations.
