Easyknit International Holdings Limited (EASYKNIT INT’L) has unveiled a revised proposal to subdivide every existing and unissued share of HK$0.10 into two shares of HK$0.05 each. If approved, the authorised share capital will remain at HK$1.00 billion but will be re-denominated into 20.00 billion Subdivided Shares, doubling the issued share count to 147.98 million shares on the effective date.
Key terms and timetable • Shareholder vote: A special general meeting (SGM) is scheduled for 10:15 a.m. on 25 August 2026. No shareholders are required to abstain from voting. • Effective date: The subdivision will take effect on 27 August 2026, two business days after all conditions—including shareholder approval and Stock Exchange listing consent—are met. • Board lot: Maintained at 1,000 shares. Post-split, the theoretical entry cost per board lot will be halved from HK$2,300 to HK$1,150 based on the 20 July 2026 closing price of HK$2.30 per share. • Certificate exchange: Free replacement of existing blue certificates with new red certificates will run from 27 August to 5 October 2026; thereafter a handling fee of HK$2.50 per certificate applies. • Parallel trading & odd-lot services: Temporary parallel trading starts on 10 September and ends on 30 September 2026. Constance Capital Limited will provide odd-lot matching services during this window.
Share option adjustments The company currently has 292,000 outstanding share options under its 2012 Share Option Scheme. Exercise prices and option quantities will be adjusted on a pro-rata basis upon the split; an independent adviser has been engaged to certify compliance with Listing Rule 17.03(13).
Rationale and impact Management expects the lower nominal value and halved board-lot cost to enhance trading liquidity and broaden the shareholder base. The board emphasises that the subdivision will not alter shareholders’ proportional interests, the group’s assets or operations, and states there are no current plans for further capital actions or fundraising in the next 12 months.
Cautionary note The subdivision remains conditional on shareholder approval and regulatory clearance. Investors are advised to exercise caution when dealing in Easyknit Int’l shares until all conditions are satisfied.
