Wingtech Technology Forecasts 2025 Loss of 9-13.5 Billion Yuan Amid Nexperia Control Restrictions

Wingtech Technology Co.,Ltd. anticipates recording a loss of up to 13.5 billion yuan for the year 2025, a significant downturn primarily driven by substantial asset impairment charges stemming from restricted control over its core European subsidiary, Nexperia.

According to the company's performance forecast disclosed on January 31st, the net profit attributable to shareholders of the parent company for 2025 is projected to be between -9 billion yuan and -13.5 billion yuan. This forecasted loss represents a significant expansion compared to the 2.833 billion yuan loss recorded in the same period of 2024.

After excluding non-recurring gains and losses, the company expects its net profit loss to be in the range of 200 million to 300 million yuan, indicating that the projected loss is mainly attributable to one-time accounting adjustments rather than operational performance at the core business level.

The core reason for the widening loss is a regulatory change that occurred in the fourth quarter of 2025. Last November, reports indicated that Dutch authorities had stated the suspension of intervention measures against Nexperia. On November 13th, a spokesperson for China's Ministry of Commerce stated that since the Nexperia issue arose, China has consistently engaged in multiple rounds of consultations with the Dutch side, demonstrating a responsible attitude towards the stability and security of the global semiconductor supply chain, and agreed to a request for officials from the Dutch Ministry of Economic Affairs to visit China for discussions.

Wingtech Technology stated in its report that, as of the end of the reporting period, although the ministerial order from the Dutch Ministry of Economic Affairs and Climate Policy has been suspended, the ruling from the Enterprise Chamber of the Amsterdam Court of Appeal remains in effect. The impact of the restricted control over Nexperia on the financial statements carries significant uncertainty, and the outcome of ongoing communications with relevant Dutch parties remains unclear. Based on the principle of prudence, the company has decided to recognize a substantial amount of investment losses and asset impairment losses.

The company further indicated that the series of effects resulting from the restricted control of Nexperia involve significant uncertainty. Despite efforts to reasonably estimate the financial impact, the actual results could differ from the forecast, potentially being less accurate or exceeding expectations. Currently, the company maintains communication with relevant parties in the Netherlands, but the progress and final outcome of these discussions remain uncertain. Investors are advised to pay close attention to the formally disclosed annual report for 2025.
