Yangzijiang Maritime Development Ltd. clears share buy-back mandate at EGM

Yangzijiang Maritime Development Ltd. announced that shareholders approved a share buy-back mandate at its Extraordinary General Meeting held on Mar, 06 2026.

The mandate authorises directors to repurchase up to 10% of the company’s issued ordinary shares through on-market and off-market transactions. Purchases on the Singapore Exchange can be made at up to 105% of the average closing price, while off-market purchases are capped at 120% of that average. The authority lasts until the next Annual General Meeting, the deadline for holding the next AGM, or when the 10% limit is reached, whichever is earliest.

The resolution was passed with 1,576.3 million votes in favour (99.88%) and 1.95 million votes against (0.12%) on a poll conducted by Boardroom Corporate & Advisory Services Pte. Ltd., with Sino Lion Communications Pte. Ltd. acting as scrutineer.

Directors told shareholders that no specific budget has been set for the buy-backs but confirmed sufficient cash resources are available. Repurchased shares will be held as treasury shares for possible future use, including employee incentive plans.

The meeting, chaired by Lead Independent Director Teh Wing Kwan, concluded at 3:35 p.m. after addressing shareholder questions on funding, dividend policy and capital allocation.
